Welcome to ZIPPIT also hereby known as “we\", \"us\" or \"ZIPPIT\". We are an online service platform and these are the terms and conditions governing your access and use of ZIPPIT along with its related sub-domains, sites, mobile app, services, and tools (the \"Site\"). By using the Site, you hereby accept these terms and conditions (including the linked information herein) and represent that you agree to comply with these terms and conditions (the \"User Agreement\"). This User Agreement is deemed effective upon your use of the Site which signifies your acceptance of these terms. If you do not agree to be bound by this User Agreement please do not access, register with or use this Site. This Site is owned and operated by Zippit Technologies PVT. LTD. is a company incorporated under the Companies Act, 1956, (Registration Number: 261450)

By accessing this website and our application we assume you accept these terms and conditions. Do not continue to use https://www.zippitindia.com/ or ZIPPIT app if you do not agree to take all of the terms and conditions stated on this page.

These terms and conditions outline the rules and regulations for the use of ZIPPIT TECHNOLOGIES PRIVATE LIMITED's Website, located at https://www.zippitindia.com/, and the ZIPPIT application for smartphone and electronic devices.

1. SERVICES:

(a) As according to our Services, you have access to the Platform that enables you to schedule and arrange different home-based services with independent third-party service providers ("Service Professionals").

(b). As a part of the Services, ZIPPIT facilitates the transfer of payments to Service Professionals for the services they render to you and collects payments on behalf of ZIPPIT Service Professionals.

(c) The Platform is for your personal and non-commercial use only, Please note that the Platform is intended for use only within India.

The ZIPPIT terms and conditions apply to the jurisdiction in which you avail the Services if that jurisdiction is other than India.

(d) A key part of the Services is ZIPPIT's ability to send you text messages, electronic mails, or WhatsApp messages, including in connection with your bookings, your utilization of the Services, or as a part of its promotional and marketing strategies. While you may opt out of receiving these text messages by contacting ZIPPIT at https://www.zippitindia.com/ privacy or through the in-Platform settings.

(e) In certain instances, you may be required to furnish identification proof to avail of the Services and hereby agree to do so. A failure to comply with this request may result in your inability to use the Services.

(f) ZIPPIT Credits and loyalty points:

(i) ZIPPIT may, in its sole discretion, offer promotional codes that may be redeemed for credits, other features, or benefits related to the Services, subject to any additional terms that may apply on a promotional code ("ZIPPIT Credits").

(ii)You agree to the following regarding ZIPPIT Credits:

(a) You will use ZIPPIT Credits in a lawful manner and for the purposes specified by ZIPPIT.

(b) You will not duplicate, sell, or transfer ZIPPIT Credits unless you have obtained explicit prior consent from ZIPPIT.

(d) ZIPPIT Credits are not redeemable for cash.

(e) ZIPPIT Credits may expire before you have a chance to use them at a specific time.

(iii) ZIPPIT may, at its sole discretion, offer ZIPPIT Credits to select users, which may result in different amounts being charged for the same or similar services compared to other users.

(iv) ZIPPIT reserves the right to withhold or revoke ZIPPIT Credits or other associated features or benefits obtained through the use of ZIPPIT Credits if it reasonably determines or suspects that the use or redemption of the credits was erroneous, fraudulent, illegal, or in violation of the applicable ZIPPIT Credit terms or these Terms.

2. ACCOUNT CREATION

(a)To avail of the Services, you will need to create an account on the Platform ("Account"). In order to create an Account, you may be required to provide certain details, including your phone number. To create an account, you must be at least 18 years of age.

(b) You agree to keep your information up-to-date on the Platform. If there are any changes to or modifications to this information, you will promptly update it on the Platform.

(c) You bear full responsibility for upholding the security and confidentiality of your Account. It is essential that you promptly inform us of any unauthorized access, disclosure, or misuse of your Account, as well as any security breaches pertaining to it.

(d) You are held liable and accountable for all actions conducted through your Account, even those carried out by individuals other than yourself. Please note that we cannot be held responsible for any unauthorized access to your Account.

3. COMMUNICATION

When you visit the Site, or send e-mails to us, you are communicating with us electronically. You will be required to provide a valid phone number while placing an order with us. We may communicate with you by e-mail, SMS, phone call, or by posting notices on the Site, or by any other mode of communication we choose to employ. For contractual purposes, you consent to receive communications (including transactional, promotional, and/or commercial messages), from us with respect to your use of the website (and/or placement of your order) and agree to treat all modes of communication with the same importance.

You agree to receive communications from us regarding (i) requests for payments, (ii) information about us and the Services, (iii) promotional offers and services from us and our third-party partners, and (iv) any other matter in relation to the Services.

4. USER CONTENT

(a) Within our Platform, there may be interactive features or services that enable users with registered accounts to share and contribute various forms of content, such as comments, reviews, suggestions, feedback, ideas, or other materials ("User Content"). Users have the ability to post, upload, publish, display, transmit, or submit such content on or through the Platform.

(b) In order to ensure the effective provision of our Services and for quality control purposes, we may ask you to provide reviews regarding Service Professionals. It is important to note that Service Professionals also have the ability to provide reviews about you to us. When submitting reviews, you must refrain from knowingly providing false, inaccurate, or misleading information. These reviews serve as a means for us to maintain quality standards and assess whether both Customers and Service Professionals are suitable users of the Platform. Should we determine, at our sole discretion, that you do not meet the criteria of an appropriate user, we reserve the right to cancel your registration and remove you from our Platform.

(c) By using our Services, you grant us a non-exclusive, worldwide, perpetual, irrevocable, transferable, sub-licensable, and royalty-free license to utilize, publish, display, store, host, transfer, process, communicate, distribute, make available, modify, adapt, translate, and create derivative works based on the User Content. This license is essential for the proper functioning of the Services and its connection to the User Content. Additionally, we may utilize the User Content for limited purposes such as advertising and promoting the Services. Furthermore, we reserve the right to present User Content as evidence before a court or authority of competent jurisdiction, as required by applicable laws.

(d) You agree and acknowledge that ZIPPIT may, without notice to you, remove, or otherwise restrict access to User Content that, in its sole discretion, violates these Terms.

5. CONSENT TO USE DATA

(a) By agreeing to these terms, you acknowledge and consent to our collection and utilization of your personal data in accordance with our Privacy Policy. Our Privacy Policy, accessible at https://www.zippitindia.com/html?page=privacy-policy, outlines the types of personal data we collect or process about you and the methods by which we handle such data, including ZIPPIT data.

(b) In addition to any consent you have already provided in accordance with our Privacy Policy, you hereby grant consent for us to share your information with our affiliates or other third-party service providers. We may utilize the information and data related to your use of the Services for various purposes, including but not limited to the provision of the Services, analytics, trend identification, statistical analysis to enhance the effectiveness and efficiency of our Services, and offering beneficial schemes and new promotions to enhance your overall experience.

(c) In compliance with applicable laws, we may receive directives from law enforcement agencies, the government, or related bodies, requesting the disclosure of data pertaining to you in connection with criminal or civil proceedings. You acknowledge and agree that in such instances, we have the right to share the requested data, including ZIPPIT data, with the relevant agencies or bodies.

6. BOOKINGS

(a) Orders: The Platform allows you to request different Services at your preferred time, subject to availability. To make a booking, follow the instructions on the Platform and provide the required information. We make reasonable efforts to match you with a Service Professional available at the requested time. In the rare event that we cannot find a Service Professional for your selected timeslot, we will contact you to discuss alternative options.

(b) Confirmation: After you submit a request, we will send you a confirmation of the booking through SMS, email, or push notification. Once your booking is confirmed, you will need to make the payment as specified in these Terms or indicated on the Platform. Once a Service Professional has been assigned for the requested Services, you will receive confirmation through the app or via SMS, email, or push notification.

(c) Cancellations: Bookings that are canceled before confirmation on the Platform will not incur any charges. ZIPPIT's cancellation policy outlines the applicable cancellation fees.

(d) Substitution: If a selected Service Professional becomes unavailable or cancels, we will provide you with a substitute from our pool of registered Service Professionals. This ensures that you still receive the desired service despite any unforeseen circumstances.

7. PRICING, FEES, AND PAYMENT TERMS

(a) ZIPPIT reserves the right to charge you for the different Services you may avail and/or for any other facilities you may opt for, from time to time, on or via the Platform.

(b) Charges and Fees in respect of Services:

(i) In respect of Services that you seek to avail through the Platform, you shall be required to pay Service Professionals the amount indicated at the time of booking as well as amounts towards

(A) any additional Services you may avail,

(B) out-of-pocket expenses incurred by the Service Professional, and

(C) In addition to the Charges you pay to the Service Professionals for the purchased goods or services, ZIPPIT may charge you a convenience fee (referred to as "Fees") for facilitating the booking and processing payments to the Service Professional. Please note that the final bill may also include additional charges, such as safety fees, warranty fees, insurance fees, or Service Professional welfare fees.

(ii) ZIPPIT will inform you about the Charges, Fees, and payment methods during booking. You can pay through credit cards, debit cards, net banking, wallets, UPI, or cash upon completion. Payment methods may be restricted. Cash payment requires paying both Charges and Fees to the Service Professional..

(ii) The Charges and Fees may be payable at the time of making a booking, or upon the completion of the Service, as specified by ZIPPIT.

(iv)To clarify, the Charges are to be paid directly to the Service Professionals. ZIPPIT acts as a collection agent, facilitating the collection and transfer of the amounts owed to the Service Professionals.

(v) Taxes: All Charges and Fees are inclusive of applicable taxes.

(vi) ZIPPIT has the right to modify the Charges and Fees at its discretion. Any changes in Fees will not affect confirmed bookings made prior to the updated Fees being published on the Platform.

(vii)Unless determined otherwise by ZIPPIT or required by applicable laws, the Charges and Fees you pay are non-refundable and final. However, in case of a service failure, you may be eligible for a refund or other remedies as provided by applicable laws.

(viii)You acknowledge and agree that Charges and Fees may significantly increase in certain geographical areas during periods of high demand. ZIPPIT will make reasonable efforts to notify you of the applicable Charges and Fees. However, regardless of your awareness of such Charges or Fees, you will be responsible for the Charges and Fees incurred under your Account when using the Services.

(c) Payment Processors: We may utilize a third-party payment processor ("Payment Processor") to handle your payments using your selected payment method. The processing of payments will be governed by the terms and policies of the Payment Processor, in addition to these Terms. We are not responsible for any errors or issues that may arise during the payment process by the Payment Processor. Processor. In the event of any unsuccessful payment, the money debited shall be credited in accordance with the terms of the Payment Processor.

(d) Cancellation: You have the option to cancel your service request with a Service Professional at any time before they are on the way to provide the services. However, please note that a cancellation fee may be charged in accordance with ZIPPIT's cancellation policy. ZIPPIT also reserves the right to deduct any applicable taxes related to the cancellation fee.

(e) Subscriptions: ZIPPIT may occasionally provide subscription packages to Customers for a fee, which may offer additional benefits such as discounted Services. These subscription packages will be subject to separate terms and conditions, which will be considered as an integral part of these Terms.

(f) ZIPPIT clarifies that it does not allocate any part of your payment as a tip or gratuity to the Service Professional. Any statement by ZIPPIT stating that tipping is "voluntary," "not required," or "included" in the payments does not imply that ZIPPIT provides additional payments to Service Professionals. You have the freedom to provide additional payment as a gratuity to Service Professionals, but it is not obligatory. Gratuities are discretionary.

8. CUSTOMER CONDUCT

(a) ZIPPIT prohibits discrimination against Service Professionals based on characteristics protected under applicable law, such as race, religion, disability, and more. Refusing service based on these characteristics is strictly prohibited. Equality and inclusivity are valued on our platform.

(b) Please treat Service Professionals with respect and provide them with a safe environment. They have the right to refuse services if the location is unsuitable or if you behave inappropriately. We reserve the right to restrict your access to service if you engage in disrespectful or abusive behavior towards Service Professionals.

(c) You are solely responsible for any discrimination against Service Professionals and for ensuring that they are provided with a safe, clean, and suitable location to perform service. Furthermore, you are obligated to disclose any relevant information that may affect the Service Professionals' ability to perform their services or impact their health, safety, or well-being to both ZIPPIT and the Service Professional.

(d) You agree that in the event a Service Professional behaves in a manner that is discourteous, disrespectful, abusive, inappropriate, or in violation of the law, you shall be required to report such incident to seniormanager@zippitindia.com at the earliest but in any event within 48 (forty-eight) hours of such incident.

(e)We reserve the right to withhold access to the Platform and otherwise limit Your access to the Platform at Our absolute discretion if You behave toward any service provider working with ZIPPIT in a manner that is discourteous, disrespectful, or abusive, or otherwise may be deemed to be inappropriate or unlawful.

9. YOUR SUBMISSION

Anything that you submit to the Site and/or provide to us, including but not limited to, questions, reviews, comments, and suggestions (collectively, \"Submissions\") will become our sole and exclusive property and shall not be returned to you. In addition to the rights applicable to any Submission, when you post comments or reviews to the Site, you also grant us the right to use the name that you submit, in connection with such review, comment, or other content. You shall not use a false e-mail address, pretend to be someone other than yourself or otherwise mislead us or third-parties as to the origin of any Submissions. We may, but shall not be obligated to, remove or edit any Submissions without any notice or legal course applicable to us in this regard.

10. THIRD PARTY SERVICES

(a) The Platform may offer Third Party Services, which include services, content, documents, and information provided by third parties. The responsibility for these Third Party Services lies solely with the third party that created or provided them. The inclusion of links to Third Party Services on the Platform does not imply endorsement or guarantee by us. You acknowledge and understand that your use of Third Party Services is at your own risk.

(b) We do not provide any warranties or liabilities for Third Party Services, including their accuracy or completeness. Your use of Third Party Services is governed by the terms and conditions and privacy policy of the third parties. Intellectual property rights for Third Party Services belong to their respective owners.

11. YOUR RESPONSIBILITIES

(a) By agreeing to these Terms, you confirm that all information provided by you regarding the Services is accurate, complete, and truthful. It is your responsibility to update us promptly if any changes occur. We shall not be held responsible or liable for any loss or damage incurred due to incorrect, incomplete, inaccurate, or misleading information provided by you, or failure to disclose any material facts while availing the Services.

(b) You agree to cooperate with us in the event of any proceedings initiated against us arising from a breach of your obligations or covenants under these Terms. Your cooperation will be essential in our defense in such situations.

(i) You confirm that you have the ownership of all intellectual property rights or have obtained necessary permissions to provide User Content and grant the licenses as stated in these Terms.

(ii) You bear full responsibility for all activities taking place on or through your account on the Platform, as well as for all User Content submitted.

(iii) The User Content must not and will not violate any of your obligations or responsibilities under other agreements.

(iv) the User Content does not and shall not violate, infringe, or misappropriate any intellectual property right or other proprietary right including the right of publicity or privacy of any person or entity;

(v)The User Content must not and will not contain any viruses, corrupted data, or other harmful, disruptive, or destructive files or content.

(vi) the User Content does not and shall not violate any third-party rights; and

(vii) The User Content must not:

(A) belong to any other person to which you do not have any right,

(B) threaten the unity, integrity, defense, security, or sovereignty of India, friendly relations with foreign states, public order, cause incitement to the commission of any cognizable offense, prevents investigation of any offense, or insult another nation,

(C) be defamatory, grossly harmful, blasphemous, paedophilic, invasive of another's privacy, discriminatory based on gender, ethnically objectionable, disparaging, related to, or encouraging money laundering or gambling, libelous, hateful, racist, violent, obscene, pornographic, unlawful, harmful to children, or

(D) be otherwise offensive, objectionable, or restrict or inhibit any other person from using or enjoying the Services.

(d) You shall not use the Services in any manner except as expressly permitted in these Terms. This includes:

(i) Not infringing any proprietary rights, including copyrights, patents, trademarks, or trade secrets of any party;

(ii) Not copying, displaying, distributing, modifying, publishing, reproducing, storing, transmitting, posting, translating, creating derivative works from, or licensing the Services, except as may be provided under these Terms.

(iii) Not use the Services to transmit any data, or send or upload any material that contains viruses, Trojan horses, worms, time bombs, keystroke loggers, spyware, adware, or any other harmful programs or similar computer code designed to adversely affect the operation of any computer software or hardware.

(iv) Do Not use any robot, spider, other automated devices, or manual process to monitor or copy the Services or any portion thereof. You shall not engage in the systematic retrieval of content from the Services to create or compile, directly or indirectly, a collection, compilation, database, or directory.

(vi) Not use the Services in any unlawful manner, for fraudulent or malicious activities, or in any manner inconsistent with these Terms.

(vii) Not decompile, reverse engineer, or disassemble the Services.

(viii) Not link to, mirror, or frame any portion of all or any of the Services.

(ix) Not violate applicable laws in any manner.

(e)You warrant that you shall not engage in any activity that interferes with or disrupts the Services.

(f) You shall not attempt to gain unauthorized access to any portion or feature of the Services, any other systems or networks connected to the Services, or to any of our servers, or through the Platform by hacking, password mining, or any other illegitimate means.

(g)You shall not directly or indirectly solicit, influence, engage, approach, or encourage a Service Professional to terminate their registration or engagement with the Platform or provide similar services independently without using the Platform. This limitation is necessary to protect the privacy and security of Service Professionals. However, it does not prevent you from obtaining similar services through the Platform or other means. The potential harm to Service Professionals outweighs any potential harm to you from the enforcement of this clause.

12. PRIVACY

We view the protection of Your privacy as a very important principle. We understand clearly that You and Your Personal Information are one of Our most important assets. We store and process Your Information including any sensitive financial information collected (as defined under the Information Technology Act, 2000), if any, on computers that may be protected by physical as well as reasonable technological security measures and procedures in accordance with Information Technology Act 2000 and Rules there under. 13. INTELLECTUAL PROPERTY AND RIGHTS

(a)ZIPPIT owns all rights, titles, and interests in the Services, including intellectual property rights. Subject to your compliance with these Terms, we grant you a limited, non-transferable, and revocable license to use the Services as instructed by us. This license does not include the right to sublicense or transfer the Services. All rights not expressly granted to you are reserved by ZIPPIT and its licensors.

(b) We may ask you to provide us with suggestions, feedback, and bug reports regarding the Services ("Feedback"). You agree that we have the right to use, copy, disclose, publish, display, distribute, and exploit the Feedback you provide to us. This includes the right to use the Feedback without any obligation to pay you royalties, provide acknowledgment, seek prior consent, or be restricted by any intellectual property rights you may have.

(c)Except for the rights and licenses expressly granted in these Terms, no other rights or licenses are conferred to you with respect to our or any third party's intellectual property rights. Any use of our intellectual property or that of third parties without explicit authorization is strictly prohibited.

14. TERM AND TERMINATION

(a) We reserve the right to restrict, deactivate, or terminate your access to or use of the Services under the following circumstances:

(i) Immediate termination:

(A) If you violate or breach any of the obligations, responsibilities, or covenants stated in these Terms.

(B) When you cease to be a user of our Services.

(C) If you do not, or are likely not to, meet the qualifications required by applicable law or the standards and policies of ZIPPIT or its affiliates to access and use the Services.

(D) If you violate or breach the Community Guidelines.

(ii) Termination with 30 days prior written notice to you.

(iii) Immediate termination for any legitimate business, legal, or regulatory reason.

Note: Please note that the decision to restrict, deactivate, or terminate your access to the Services is at our sole discretion and may be exercised at any time.

(b)You may terminate these Terms, at any time, for any reason by sending a notice to ZIPPIT at www.zippitindia.com/privacy

Upon termination of these Terms:

(i)the Account will expire;

(ii)the Services will "time-out"; and

(iii) these Terms shall terminate, except for those clauses that are expressly, or by implication, intended to survive termination or expiry.

Note: You furthermore agree that the Site shall not be liable to you or to any other person as a result of any such suspension or termination. If you are dissatisfied with the Site or with any terms, conditions, rules, policies, guidelines, or practices in operating the Site, your sole and exclusive remedy is to discontinue using the Site.

15. DISCLAIMERS AND WARRANTIES

(a) The Services are provided "as is" without any warranty, whether express, implied, statutory, or otherwise. This includes but is not limited to warranties of title, non-infringement, merchantability, or fitness for a particular purpose. We do not guarantee that the Services will meet your requirements or expectations.

(b)Any advice or information, whether provided orally or in writing, that you obtain from us does not create any warranty unless expressly stated in the Terms.

(c) While ZIPPIT aims to provide accurate information regarding Services and Charges, occasional pricing errors may occur.

(d) You acknowledge and agree that we operate solely as a Platform connecting you with Service Professionals. We do not assume any liability for obligations not explicitly stated in these Terms. We are not responsible for the fulfillment of bookings, the performance of Services by Service Professionals, or any acts or omissions of Service Professionals during the provision of Services, including any property damage.

(e) When you book through the Platform, you enter into a contract directly with the Service Provider, and we bear no responsibility or liability. We do not provide any warranty, representation, or guarantee regarding the performance of Service Professionals under that contract.

(f) You acknowledge and agree that if you independently solicit or receive services from any Service Professional outside of the Platform, it is done solely at your own risk. In such cases, you waive any rights that you may have under these Terms pertaining to such services.

(g)We do not provide any guarantee, warranty, or representation regarding the reliability, quality, or suitability of the Service Professionals.

(h) You acknowledge and accept full responsibility for any consequences that may arise from your use of the Services. Furthermore, you expressly agree and acknowledge that we have no liability whatsoever in relation to such consequences.

(h) ZIPPIT will establish and maintain a complaints management framework on behalf of Service Professionals, in compliance with applicable laws. However, we, our affiliates, and related parties disclaim all liability to the fullest extent permitted by law for any loss or damage arising from or related to the complaints management framework.

(i) To the fullest extent permissible by law, we, our affiliates, and our related parties disclaim all liability for any loss or damage that may arise out of or be due to:

(A) Your use of the Services, including any limitations or unavailability of the Services.

(B) We, along with our affiliates and related parties, disclaim all liability for any loss or damage resulting from the presence or occurrence of defects, interruptions, delays, communication failures, theft, destruction, or unauthorized access to our records, programs, services, servers, or other infrastructure associated with the Services. This disclaimer applies to the fullest extent permitted by law.

(D) the loss of any User Content and any other data in connection with your use of the Services.

Note: Please note that this disclaimer is applicable to the extent permitted by law, and it is important to review the specific terms and limitations outlined in the Terms of Service for a comprehensive understanding of your rights and responsibilities.

(j) To the maximum extent permitted by law, our liability is limited to the amount of commission we receive for a specific booking made on the Platform. In no event shall our total liability to you under these Terms exceed INR 10,000 (Rupees Ten Thousand)..

(1) Nothing in these Terms will exclude or limit any warranty implied by law that it would be unlawful to exclude or limit.

16. CLAIMS AGAINST OBJECTIONABLE CONTENT

We list numerous service categories and products offered by many different sellers on the Site and host multiple comments on listings, it is not possible for us to be aware of the contents of each product listed for sale, or each comment or review that is displayed. Accordingly, we operate on a \"claim, review and take down\" basis. The parties involved in the arbitration will maintain its confidentiality and not disclose it to any person, except on a need-to-know basis or to legal advisors, unless required by law. The decision of the arbitrator will be final and binding on all parties. Each party will bear its own costs related to the dispute.

23. JURISDICTION,

(a) These Terms are governed by and will be construed and enforced in accordance with the laws of India. Subject to other provisions in this clause, courts in Kolkata will have exclusive jurisdiction over all matters arising from these Terms or the use of the Services.
